Seller's Terms and Conditions

GRIZPY3 SELLER TERMS & CONDITIONS

These Seller Terms & Conditions ("Agreement") govern the relationship between Grizpy3 ("Platform", "Marketplace", "Company") and the Seller/Vendor ("Seller", "Vendor", "Brand") listing products on www.grizpy3organics.com.

By registering as a Seller on Grizpy3, you agree to comply with the following terms and conditions.

1. Marketplace Relationship

Grizpy3 operates solely as an online marketplace facilitating transactions between buyers and sellers.

The Seller acknowledges that Grizpy3:

• Is not the manufacturer, producer, importer, or owner of products listed by Sellers.

• Does not take ownership of Seller inventory.

• Acts only as an intermediary marketplace platform.

2. Seller Eligibility

To register as a Seller, the Seller must:

• Be legally eligible to enter into contracts.

• Possess all applicable licenses, registrations, certifications, and statutory approvals required to sell products.

• Provide accurate business information during registration.

Grizpy3 reserves the right to approve, reject, suspend, or terminate any Seller account at its sole discretion.

3. KYC & Verification

Sellers must submit all documents requested by Grizpy3, including but not limited to:

• PAN Card

• Aadhaar Card

• GST Registration (if applicable)

• Business Registration Certificate

• FSSAI License (for food products)

• Organic Certifications

• Lab Test Reports

• Bank Account Details

• Cancelled Cheque

Submission of false, forged, misleading, expired, or manipulated documents shall result in immediate suspension or permanent termination of the Seller account.

The Seller shall remain solely responsible for the authenticity and validity of all submitted documents.

4. Product Listing & Information

The Seller shall ensure that all product information uploaded on the Platform is:

• Accurate

• Complete

• Truthful

• Updated

• Non-misleading

This includes:

• Product name

• Description

• Images

• Ingredients

• Weight & dimensions

• MRP

• Expiry details

• Certifications

• Lab reports

• Product claims

The Seller shall be solely liable for any incorrect or misleading information.

5. Product Quality & Compliance

The Seller shall ensure that all products:

• Are genuine and authentic.

• Comply with all applicable laws and regulations.

• Meet applicable quality and safety standards.

• Are free from contamination, adulteration, and defects.

• Are fit for intended use.

The Seller shall bear complete responsibility for product quality, safety, efficacy, legality, and compliance.

6. Prohibited Products

The Seller shall not list or sell products that:

• Violate any applicable laws.

• Infringe intellectual property rights.

• Are counterfeit, adulterated, or expired.

• Contain prohibited substances.

• Are unsafe or harmful.

• Are restricted or banned by government authorities.

Grizpy3 reserves the right to remove such listings without prior notice.

7. Inventory Management

The Seller shall maintain accurate inventory levels on the Platform.

The Seller is responsible for:

• Updating stock availability.

• Maintaining sufficient inventory.

• Avoiding order cancellations due to stock unavailability.

Repeated cancellations may result in penalties, suspension, or delisting.

8. Bulk Product Upload

Grizpy3 provides Excel-based bulk product upload facilities.

The Seller shall ensure that all uploaded data is accurate and properly formatted.

Any errors arising due to incorrect uploads shall remain the sole responsibility of the Seller.

9. Order Processing & Dispatch

The Seller agrees to:

• Accept and process orders promptly.

• Pack products securely.

• Dispatch orders within timelines specified by Grizpy3.

• Comply with packaging and shipping guidelines.

Failure to dispatch orders within stipulated timelines may attract penalties or suspension.

10. Returns, Refunds & Claims

The Seller agrees to accept returns and refund requests in accordance with Grizpy3's Return & Refund Policy.

The Seller shall cooperate in resolving customer complaints and disputes.

Where claims are found genuine, the Seller shall bear all applicable costs including refunds, replacements, reverse logistics charges, and related expenses.

11. Product Certifications & Lab Reports

For products requiring certification or testing, the Seller shall provide valid and updated:

• Organic Certifications

• FSSAI Certifications

• Lab Test Reports

• Other statutory approvals

The Seller shall immediately notify Grizpy3 if any certification expires, is suspended, or revoked.

12. Pricing Responsibility

The Seller shall independently determine product pricing.

The Seller shall ensure that:

• MRP complies with applicable laws.

• Pricing is fair and accurate.

• No misleading discounts are displayed.

Grizpy3 reserves the right to remove listings containing pricing discrepancies.

13. Commission & Payments

The Seller agrees to pay applicable marketplace commissions, fees, logistics charges, payment gateway charges, taxes, and any other charges communicated by Grizpy3.

Payments to Sellers shall be released as per the payment cycle determined by Grizpy3, subject to deductions for:

• Marketplace commission

• Refunds

• Returns

• Penalties

• Applicable taxes and statutory deductions

14. Intellectual Property

The Seller grants Grizpy3 a non-exclusive, royalty-free license to use product images, descriptions, trademarks, logos, and related content for:

• Marketplace listings

• Marketing activities

• Promotional campaigns

• Social media promotions

The Seller warrants that it possesses all rights necessary to grant such usage rights.

15. Indemnity

The Seller agrees to indemnify and hold harmless Grizpy3, its directors, employees, affiliates, and representatives from any claims, losses, damages, liabilities, penalties, legal proceedings, or expenses arising out of:

• Product defects

• Misrepresentation

• Regulatory violations

• Intellectual property infringement

• Customer claims

• Breach of these Terms

16. Suspension & Termination

Grizpy3 reserves the right to suspend, restrict, or terminate Seller accounts without prior notice in case of:

• Fraudulent activity

• Submission of false information

• Excessive customer complaints

• Policy violations

• Legal or regulatory non-compliance

17. Limitation of Liability

Grizpy3 shall not be liable for indirect, incidental, special, punitive, or consequential damages arising from the Seller's use of the Platform.

The total liability of Grizpy3 shall be limited to the amount payable to the Seller for the specific transaction giving rise to the claim.

18. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India.

Any disputes shall be subject exclusively to the jurisdiction of courts located in Mumbai, Maharashtra.

19. Acceptance

By registering as a Seller on Grizpy3, you acknowledge that you have read, understood, and agreed to these Seller Terms & Conditions.

I hereby agree to the Grizpy3 Seller Terms & Conditions and undertake to comply with all applicable policies, laws, and marketplace guidelines.
